End User License Agreement

Last updated: [[ DATE ON PUBLICATION ]] · Version 1.0 (draft)

This End User License Agreement ("EULA") is a legal agreement between you and us governing your installation and use of the Slim Archiver software. By installing or using the Software, you accept this EULA. If you do not accept it, do not install or use the Software.

1. The parties and this agreement

The Software is licensed, not sold, to you by [[ LEGAL IDENTITY — legal name / registered form (individual or SRL), and registered address if applicable; to be settled with an accountant or lawyer ]] ("we", "us", "our"). This EULA governs the licensing of the Software to you, the end user ("you"). Your purchase and the commercial terms of your relationship with us are governed separately by our Terms of Service, and our handling of personal data by our Privacy Policy. Where this EULA and the Terms of Service address the same subject, they are intended to be read together.

2. License grant

Subject to your compliance with this EULA, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software in accordance with the tier you have obtained, as follows:

This license grants you a right to use the Software only. It does not transfer to you any ownership of the Software or any intellectual property rights in it.

3. Activation and single-machine use

Paid tiers (Pro and Enterprise) are activated on, and bound to, a single computer identified by a hardware identifier ("HWID"). You may not use one paid license on more than one computer at the same time. If you change computers, the procedure is set out in the Terms of Service: support deactivates the old device, and you then activate on the new one.

4. Restrictions

Except to the extent expressly permitted by this EULA or required to be permitted by applicable law, you may not:

5. Ownership and intellectual property

The Software, the Slim Archiver name and branding, and the .slim archive format are and remain our property, protected by applicable intellectual property law. All rights not expressly granted to you in this EULA are reserved by us.

6. Third-party components

The Software includes third-party open-source components, each licensed under its own terms. These components and their licenses are identified in the third-party notices file distributed with the Software [[ confirm final location: bundled NOTICE file and/or a /licenses page ]]. Your use of those components is governed by their respective licenses, which prevail over this EULA to the extent of any conflict as to those components.

7. Updates

Updates to the Software, and your entitlement to them, are provided as described in the Terms of Service. Any update provided to you is governed by this EULA unless the update is accompanied by its own separate license terms, in which case those terms apply to that update.

8. Disclaimer of warranties

The Software is provided "as is" and "as available", without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. We do not warrant that the Software will be uninterrupted or error-free.

The Software compresses, encrypts, and stores your data. Although it is designed to preserve data integrity, you are responsible for keeping independent backups of important data. Data protected with a password or key that is lost or forgotten cannot, by design, be recovered by us. To the maximum extent permitted by law, we are not liable for loss of, or inability to recover, data.

9. Limitation of liability

To the maximum extent permitted by applicable law, our total liability arising out of or relating to the Software or this EULA is limited to the amount you paid for your license, and we are not liable for any indirect, incidental, or consequential damages. [[ LAWYER — EU consumer-protection law limits how far liability can be disclaimed against consumers; mandatory consumer rights cannot be excluded and this clause must be reviewed ]]

10. Termination

This EULA and your license take effect when you first install or use the Software and continue until terminated. Your license terminates automatically if you breach this EULA, in particular the restrictions in section 4. On termination, you must stop using the Software and remove all copies in your control. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, and governing law — survive termination.

11. Governing law

This EULA is governed by the laws of Romania and the European Union. [[ LAWYER — confirm governing law and jurisdiction; EU consumer-protection rules may override choice-of-law and choice-of-forum for consumers ]]
